Nature’s Miracle Holding Inc. has signed a letter of intent to acquire a majority stake in CM Fabrication and two affiliated businesses, opening a new front in domestic unmanned aircraft production. The deal positions the controlled environment agriculture firm to manufacture drones inside the United States through a Chicago-area industrial base. The Nature’s Miracle Drone strategy centers on a 55 percent equity stake in three target companies tied to CM Capital Management.

Under the LOI, Nature’s Miracle would take majority ownership in CM Fabrication, LLC, CEA Studios (a division of 2WR Georgia, Inc.) and CM E-Commerce LLC. The transaction is being supported by roughly $11 million in acquisition financing from a third-party lender. That financing is expected to refinance about $10 million of existing debt already held by the target companies, with the loan secured by substantially all of their assets.

Inside the Nature’s Miracle Drone Acquisition

The Nature’s Miracle Drone agreement also includes a path to full ownership. After taking the initial 55 percent, the company has committed to purchasing the remaining 45 percent equity interest held by CM Capital Management at a valuation of no less than $20 million or 10 times trailing EBITDA, whichever is higher. That structure leaves room for both an initial control transaction and a follow-on buyout once integration is underway, giving both sides a clearer roadmap for the eventual change in ownership.

Together, the three operating units are described in the announcement as a vertically integrated manufacturing and services platform. The companies are focused on designing, building and supplying Made-in-USA products and equipment for the drone, artificial intelligence data center and horticulture industries. Nature’s Miracle also pointed to a previously announced strategic partnership with Dromni Intelligence aimed at developing AI-powered autonomous robotics for U.S. agriculture, energy and data center markets, themes that align with a broader push around domestic drone manufacturing capacity.

CM Fabrication’s Illinois Production Footprint

Founded by Chris Mayer, CM Fabrication operates a 500,000-square-foot manufacturing facility in Sycamore, Illinois. The site provides precision metal fabrication, robotic welding, TIG and MIG welding, and advanced electronic manufacturing services. CEA Studios contributes design and architectural services, while CM E-Commerce LLC handles online sales and distribution. The combination gives Nature’s Miracle a single platform that can move from initial design and prototyping into full-scale production and finishing.

Financial projections in the press release outline a steep ramp for the target group. The companies generated roughly $8.6 million in revenue and $0.08 million in EBITDA during fiscal year 2025, while they are projected to reach about $18.2 million in revenue and $3.6 million in EBITDA in 2026. Mayer addressed the partnership directly in the announcement, framing the deal around access to public market capital.

“We are excited to partner with Nature’s Miracle and pursue a public listing strategy to access growth capital for the rapidly expanding advanced manufacturing opportunities within the drone, AI data center and energy sectors in the United States. We also expect to leverage Nature’s Miracle’s supply chain capabilities to further optimize our operational efficiency and cost structure.” Chris Mayer, Founder and Chief Executive Officer of CM Fabrication, LLC

Public Listing Plans and Leadership Roles

Once the acquisition closes, Nature’s Miracle intends to pursue an uplisting strategy through a merger with a Nasdaq or NYSE-listed shell company. Tie “James” Li, the current Chairman and Chief Executive Officer of Nature’s Miracle, is expected to serve as Executive Chairman of the combined company. Mayer is expected to assume a senior C-level executive role, keeping his operational influence inside the merged business. Additional background on Nature’s Miracle’s controlled environment agriculture pipeline is published on the company’s corporate website.

Li tied the transaction to a wider push around domestic drone production and AI-driven robotics in his own statement. The remarks connect the CM Fabrication deal with Nature’s Miracle’s earlier announced partnership with Dromni Intelligence aimed at U.S. markets.

“We are excited about the potential combination between Nature’s Miracle and the CM Capital portfolio companies. CM Fabrication has built a strong reputation in the horticulture industry while also expanding into critical Made-in-USA drone manufacturing. As we announced earlier, we have set up a strategic partnership Dromni Intelligence to develop ai-powered autonomous robotics solutions for the U.S. agriculture, energy and data center markets. Acquisition of CM Fabrication gives us the capability to manufacture drone in the U.S. which is critical in the global supply chain.” Tie “James” Li, Chairman and Chief Executive Officer of Nature’s Miracle

Nature’s Miracle, which trades on OTCID under the symbol NMHI, described itself in the release as a controlled environment agriculture and vertical farming company that also maintains a pipeline of commercial-scale greenhouses. The company noted that the LOI is non-binding outside of specific provisions covering the structure of the acquisition and the consideration to be offered. A final deal would require a definitive agreement, and the $11 million financing figure remains subject to capital raising.
